Forming an LLC in Delaware

Each state has its requirements for businesses that plan on forming a Limited Liability Company (LLC) there. LLC Name Requirements

Delaware requires Limited Liability Companies to have names that can't be confused with the names of any other domestic or foreign corporation, LLC, LLLP, LLP, LP, NFP, Trust or PC. Filing Requirements

Required documents: Companies that wish to form an LLC in Delaware must file a Certificate of Formation. Remember, when you work with The Company Corporation, we'll take care of this filing for you.

Turnaround time: In general, turnaround time for forming an LLC in Delaware is 3-5 business days. Expedited filings, which require an additional fee, are typically completed the same day.

Follow-up filing: Not required.

Managers/Members Information

Minimum number: LLCs are required to have one or more managers/members.

Principal Office Location: Delaware permits an LLC's principal office to be located outside of the state.

Annual Reports

Time to file: LLCs must file their annual tax statement on or before June 1.

Turnaround time: Turnaround time at the state is two business days.

Filing extensions: Not permitted.
