Reinstatements

Failing to Meet LLC Requirements

If a Limited Liability Company (LLC) fails to meet its annual state requirements, the Secretary of State may "administratively dissolve" the company. Depending upon the state, this negative status may be also called void, involuntarily dissolved or forfeited.

A void company is no longer authorized to transact business in its state of formation and may not obtain a Certificate of Good Standing. It also may leave the business owners personally liable for the debts and obligations of the company.

Restoring a Business to Good Standing

LLC.com may be able to assist in restoring a void company to good standing through a formal reinstatement filing. We provide this service regardless of whether the LLC was originally formed through LLC.com.

Reinstatement Filing

The reinstatement process may involve additional steps if an LLC must file past-due annual reports or pay overdue franchise taxes to the state.  LLC.com will advise customers of any known requirements to reinstate when an order is processed. If we are advised of additional fees or filings by the state after your order is submitted, we will contact you for instructions.

How to Determine Your Business is Void

LLC.com will perform a status search on your company for $50.00 plus state fees. We can report the current status of your company according to state records to help you determine whether a formal reinstatement filing is necessary or applicable. Simply contact an LLC Business Specialist at 877-261-9606 or 302-636-5457 to determine whether your company has been involuntarily dissolved.

Placing a Reinstatement Order

To begin the reinstatement process, a $50.00 deposit is required to provide a cost breakdown, research and paperwork for the filing. The deposit is nonrefundable, but it will be deducted from our service fee of $125.00. For a Delaware reinstatement filing LLC.com can conform (type) your signature on the documents and submit them directly to the state for faster processing.
